These Terms of Service ("Terms") form a binding agreement between you ("Customer," "you," or "your") and Amna Labs, Inc. ("Sakha," "we," "us," or "our") and govern your access to and use of the Sakha platform, website at sakha.ai, and related services (collectively, the "Services").
By signing up for an account, accessing the Services, or clicking a button or checkbox indicating your acceptance, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
1. The Services
Sakha is an AI-powered onboarding companion that lives in your team's communication tools, ingests your company knowledge, guides new hires through structured onboarding, and reviews employment-related documents. We will provide the Services in accordance with the plan you select and the documentation we make available from time to time.
2. Accounts and Eligibility
To use the Services you must register for an account, provide accurate and complete information, and keep that information updated. You are responsible for safeguarding your credentials and for all activities that occur under your account. You must promptly notify us of any unauthorized access or use.
You may not use the Services if you are under 16 years of age, if you have previously been suspended or removed from the Services, or if applicable laws prohibit you from doing so.
3. Subscription, Fees, and Billing
Access to paid Services requires a subscription. You agree to pay all fees specified at the time you subscribe, including applicable taxes. Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.
We may change our pricing at any time, but changes will not take effect for your existing subscription until your next renewal. If you do not agree to a price change, you may cancel before renewal.
Fees are non-refundable except where required by law or expressly stated in these Terms. If you exceed the included usage of your plan (for example additional onboardings beyond your monthly limit), the overage rates published in the Services will apply.
4. Customer Data
"Customer Data" means any content, files, documents, knowledge base entries, employee information, messages, and other data that you or your authorized users submit to the Services. As between you and Sakha, you own all Customer Data and retain all rights, title, and interest in it.
You grant Sakha a non-exclusive, worldwide, royalty-free license to host, copy, transmit, process, and display Customer Data solely as necessary to provide and improve the Services for you. Sakha will not use Customer Data to train, fine-tune, or improve any foundation AI model.
You represent and warrant that you have all rights, consents, and authority necessary to provide Customer Data to Sakha and to authorize the processing described in these Terms, including with respect to information about your employees, contractors, and applicants.
5. Acceptable Use
You agree not to, and not to permit any user to:
- Reverse engineer, decompile, or attempt to extract the source code of the Services.
- Use the Services to develop a competing product, benchmark performance for public comparison without our prior written consent, or copy any features or user interface.
- Upload or transmit any content that is unlawful, infringing, defamatory, harassing, or contains malicious code.
- Attempt to gain unauthorized access to the Services, other accounts, or related systems or networks.
- Use the Services to send spam, conduct phishing, or otherwise violate applicable laws.
- Circumvent rate limits, usage caps, or any technical or contractual limitations of the Services.
- Use the Services as the sole basis for legal advice, employment decisions adverse to a worker, or any decision with material legal or similar effects without human review.
6. AI-Generated Content
The Services use generative AI to produce summaries, suggested clause language, draft policies, counter-drafts, and other outputs ("AI Output"). AI Output may contain errors, omissions, or content that does not reflect current law in your jurisdiction. AI Output is provided for informational purposes only and is not legal, tax, financial, or professional advice.
You are solely responsible for reviewing AI Output before using it. Sakha is a first-pass assistance tool, not a substitute for qualified legal counsel or licensed professionals. We disclaim all warranties with respect to the accuracy, completeness, or fitness for any particular purpose of AI Output to the maximum extent permitted by law.
7. Third-Party Integrations
The Services interoperate with third-party tools (for example Slack, Google Workspace, Notion, Confluence, GitHub, Microsoft Teams, Linear, and Jira) through APIs and OAuth integrations. Your use of those third-party services is governed by the third party's own terms and privacy policies. Sakha is not responsible for the availability, accuracy, or practices of any third-party service.
8. Intellectual Property
The Services, including all software, designs, text, graphics, logos, and the Sakha brand, are owned by Amna Labs, Inc. or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes during the term of your subscription.
Feedback, suggestions, or ideas you provide about the Services are non-confidential, and you grant Sakha a perpetual, irrevocable, royalty-free license to use them for any purpose.
9. Confidentiality
Each party may disclose confidential information to the other in connection with the Services. The receiving party will protect such information using the same degree of care it uses to protect its own similar confidential information, and will use it only to perform under these Terms. Customer Data is your confidential information.
10. Term and Termination
These Terms remain in effect while you use the Services. You may cancel your subscription at any time through the Services or by contacting support. We may suspend or terminate your access if you materially breach these Terms, fail to pay amounts owed, or use the Services in a way that creates a security or legal risk.
Upon termination, your right to access the Services ends, and your Customer Data will be deleted within 30 days unless you request an export prior to termination or applicable law requires longer retention.
11. Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA WILL BE SECURE OR NOT LOST.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SAKHA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF SAKHA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SAKHA'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, FROM ALL CAUSES OF ACTION AND ALL THEORIES OF LIABILITY, WILL NOT EXCEED THE AMOUNTS YOU ACTUALLY PAID TO SAKHA FOR THE SERVICES IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE CLAIM.
13. Indemnification
You will defend, indemnify, and hold harmless Sakha and its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services in violation of these Terms, your Customer Data, or your violation of any third-party rights or applicable law.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and the parties consent to personal jurisdiction in those courts.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through a notice in the Services at least 30 days before the changes take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
16. Miscellaneous
These Terms, together with any orders and policies we reference, constitute the entire agreement between you and Sakha regarding the Services and supersede any prior agreements. If any provision is held to be unenforceable, the remaining provisions will remain in full force and effect. A failure to enforce a right does not waive that right. You may not assign these Terms without our prior written consent. Sakha may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
